PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. In this Agreement, the words “including” and “include” means “including, but not limited to.

1. The Agreement

These terms of use referred as “Terms” in the policy will govern the use of Capxi services referred as “Services” by the cab drivers referred as “driver” and passenger” referred as “user” in Chicago, United States.
The registration of a user or driver with Capxi constitutes the agreement bound by the following terms and conditions.
These terms and conditions supersede any oral agreements or arrangements made by any staff or driver of Capxi.
Capxi has the sole rights to change or remove any clause of the terms and condition anytime with or without prior notification. However the changes will be reflected on the website along with the effective dates.

2. Services

Capxi provides cab hailing services through a smartphone app to its registered users. Capxi has on board city certified cab drivers who might be working solely or partially with Capxi as registered drivers.
The smartphone platform is hereby referred as the “Application” that will be used by the driver and passenger to avail or offer the cab services.
Capxi is only liable to facilitate the user to hail a cab through the application and inform the available drivers about the user. Capxi does not offer transportation or logistics on its own and thus bears no responsibilities or liabilities related to the transportation or logistic services requested by the user through the application.

3. LICENSE

The agreement and compliance to these terms and registration with Capxi, grants the user and driver a limited, non-transferrable, non-sub licensable, revocable and non-exclusive license to use the services offered by Capxi the application.
This license also allows the user and driver to access and use any content and informational material available through the application or the website for the services. Any rights to content not explicitly defined here is reserved by Capxi

4. CONTENT RESTRICTIONS

The license does not allow the user or driver to :
i. Remove any copyright, trademark or other proprietary information.
ii. Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services by Capxi.
iii. Link to, mirror or frame any portion of the Services.
iv. Cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services.
v. Attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
vi. Use or reference in any manner of Capxi’s name, logos, product and service names, trademarks or services marks is strictly prohibited.
Capxi can and will take legal action on breach of any of these restrictions.

5. THIRD-PARTY SERVICES AND CONTENT

The services offered by Capxi are made available through third party services such as the cab companies. It is hereby stated that different companies can have different policies and terms of use that will be applied to the user riding and using that service.
Capxi has no control or liability regarding the policies and usage terms of those companies and in no event can act against those policies nor can it resolve any dispute in relation to the policies of third party services.
It is advised that the user reads, inquires and understands the policies of a cab company before using their services to stay informed.

6. OWNERSHIP

The services and all related material accessible through application or website or by any other means are and shall remain the property of Capxi. Capxi reserves the sole right to ownership and use by any user or driver or third party.

7. USER ACCOUNTS

To use the services offered by Capxi and access the application, the user and the driver need a user account by registering with Capxi. To avail these services it is strictly required that the user is at least 18 years of age.
Registering with Capxi needs basic information from the user and some detailed information from the driver to be able to authorize and authenticate them. The user and driver are therefore required to provide accurate and complete information to register with the company.
Incomplete, wrong, illegal or expired information may result in termination and permanent inability to use Capxi services.
It is advised that every user/driver keep their accounts safe and secure to be misused as any activity conducted by the account will be sole responsibility of the owner.

8. USER REQUIREMENTS AND CONDUCT

The services offered by Capxi is not recommended to be used by anyone under the age of 18. It is not advised that you allow anyone else to use your account to acquire the services.
The Service is not available for use by persons under the age of 18. You may not authorize third parties to use your Account, and you may not allow persons under the age of 18 to receive transportation or logistics services from Third Party Providers unless they are accompanied by you.
You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes (e.g., no transport of unlawful or hazardous materials). You will not in your use of the services cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Provider or any other party. In certain instances Capxi may require you to provide proof of identity to access or use the Services, and you agree that you may be denied access or use of the Services if you refuse to provide proof of identity.

9. NETWORK ACCESS

In order to access and use the Capxi application you will need to obtain data network access. It is advised that while using the application your mobiles network data usage and messaging charges will be applicable if not using through a wireless network. The services offered by Capxi application is free however these carrier charges might be applied.

10. MOBILE DEVICES

The current version of Capxi is supported on limited devices, we advise you to ensure that by reading through the FAQ section. Capxi cannot guarantee its application’s reliability on any other device other than that.

11. PAYMENT

The third party service providers or the cab company hired for services through Capxi will charge you a fare based on the rates approved by Chicago city authorities. After you receive the services, Capxi will facilitate the passenger to pay for the services through card or cash.
The cab companies are not authorized to overcharge or surge price the passenger in case of lack of available taxis or severe weather conditions.
Capxi application will keep the passenger informed about the distance travelled, time elapsed and the fare charged.

a- REPAIR OR CLEANING FEES
The passenger will be responsible for any damage or necessary cleaning of the cab that in any way results from the passenger’s use. However, the rates and charges for repair or cleaning will be according to the city certified rates as described in http://www.cityofchicago.org/city/en/depts/bacp/supp_info/2012_passenger_information.html

12 DISCLAIMER

The services provided by Capxi are “as is” and “as available” basis. Capxi bears no warranty, guarantee or representation of the services offered by the third party service providers and the quality, suitability or availability of those services.
By using the services of Capxi the user acknowledges that the entire risk arising out of your use of the services, and any third party good or services obtained in connection therewith, remains solely with you, to the maximum extent permitted by applicable law.
This disclaimer does not alter your rights as a consumer to the extent not permitted under the law in the jurisdiction of your place of residence.

13 LIMITATION OF LIABILITY

Capxi does not bear any liability to the driver’s or passenger’s indirect, exemplary, incidental, special, or consequential damages, including lost profits, lost data, personal injury, or property damage. Capxi has no liability to the loss incurred to the passenger due to the use of or reliance on the services or the inability to access or use the services or any transaction or relationship between them and any third party provider.
THESE LIMITATIONS DO NOT PURPORT TO LIMIT LIABILITY THAT CANNOT BE EXCLUDED UNDER THE LAW IN THE JURISDICTION OF CHICAGO.

14 INDEMNITY

By registering with Capxi, the user agrees to indemnify and hold Capxi and its officers, directors, employees and agents, harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees), arising out of or in connection with: (i) your use of the Services; (ii) your breach or violation of any of these Terms; (iii) Capxi’s use of your User Content in accordance with the policy; or (iv) your violation of the rights by any third party.

15 ARBITRATION

User registration with Capxi implies agreeing that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Services (collectively, “Disputes”) will be settled by binding arbitration between you and Capxi, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and Capxi are each waiving the right to a trial by jury or to participate as a plaintiff or class in any purported class action or representative proceeding. Further unless it is agreed beforehand with Capxi the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding.

a- ARBITRATION RULES AND GOVERNING LAW
The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect, except as modified by this “Dispute Resolution” section. (The AAA Rules are available atwww.adr.org/arb_med) The Federal Arbitration Act will govern the interpretation and enforcement of this Section. A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. (The AAA provides a form Demand for Arbitration. The arbitrator will be either a retired judge or an attorney licensed to practice law in the Chicago and will be selected by the parties from the AAA’s roster of consumer dispute arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

b-ARBITRATION LOCATION AND PROCEDURE
Unless you and Capxi otherwise agree, the arbitration will be conducted in the county where you reside. If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and Capxi submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. If your claim exceeds $10,000, your right to a hearing will be determined by the AAA Rules. Subject to the AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.

c-ARBITRATOR’S DECISION
The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator’s award damages must be consistent with the terms of the “Limitation of Liability” section above as to the types and the amounts of damages for which a party may be held liable. The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim. If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses, to the extent provided under applicable law. Capxi will not seek, and hereby waives all rights Capxi may have under applicable law to recover, attorneys’ fees and expenses if Capxi prevails in arbitration.

16 Zero tolerance policy

We do not tolerate the use of alcohol or drugs by drivers during the working hours. If you believe your driver may be under the influence of drugs or alcohol, please have the driver END THE TRIP IMMEDIATELY.
After the driver has ended the trip, please report any feedback when rating your trip in the Capxi app, or reply to your emailed receipt or email to support@capxi.com

17 NON-DISCRIMINATION POLICY

We seek to ensure that safe, reliable, and high-quality transportation options are available to everyone. We therefore prohibit discrimination against riders or drivers based on race, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age or any other characteristic protected under applicable federal or state law. Such discrimination includes, but is not limited to, refusing to provide or accept services based on any of these characteristics. Any rider or driver found to have violated this prohibition will lose access to the Capxi platform.

Driver Privacy Policy

We consider and respect the privacy of driver’s information as you are an important part of our platform. The following clauses describe the ways we will collect, use or share your information. We recommend you to go through the policy document as by registering with us it is implied that you agree to all these clauses.

The policy might change from the time to time in order to  protect your personal information better therefore it is recommended that you check the section at least once a month. For any further queries, get in touch with us at support@capxi.com.

1. WHAT INFORMATION DO WE COLLECT?

a- Information You Provide To Us

We will require the user for personal information, which is information that could reasonably be used to identify you personally, such as your name, social security number,e-mail address, and mobile number. We will collect this information through account registration forms, contact us forms, or when you otherwise interact with us in order to help you better. When you sign up to use the Services, you create a user profile. The current required data fields are:

  • Personal Information: Your name, contact details, email and phone number and social security number.
  • Profile Photo
  • Driving information: Driving license information, Affiliate Details, expiry information.

Most of this information will be viewable by the Capxi staff ,though some information will be shared with the passengers such as your name and driving information for the sake of security.

b- Information We Collect As You Access And Use Our Services

We would explicitly inform you that in addition to the information you provide us, and we might use a variety of technologies to track your usage information when you interact with our application or website. This usage data includes but not limit to information such as your browser, the URL that referred you to our Services, all of the areas within our Services that you visit, the time of day, your IP address and device identifier. However every information collected about you will be treated as personal information and handled in accordance to privacy policy.
By registering with Capxi, it is agreed that you will allow GPS tracking of your location through your registered phone number. We will monitor and use your GPS location data to send you pick up requests as well as to view the distance covered or time elapsed with passenger.
A few of the methods that may be used to collect Usage Information include, without limitation, the following (and subsequent technology and methods hereafter developed):`

Cookies. A cookie is a data file placed on a Device when it is used to access the Services. A Flash cookie is a data file placed on a Device via the Adobe Flash plug-in that may be built-in to or downloaded by you to your Device. Cookies and Flash Cookies may be used for many purposes, including, without limitation, remembering you and your preferences and tracking your visits to our web pages. Cookies work by assigning a number to the user that has no meaning outside of the assigning website.

If you do not want information to be collected through the use of cookies, your browser allows you to deny or accept the use of cookies. Cookies can be disabled or controlled by setting a preference within your web browser or on your Device. If you choose to disable cookies or Flash cookies on your Device, some features of the Services may not function properly or may not be able to customize the delivery of information to you.
You should be aware that third party cookies is not covered by our Privacy Policy.

Web Beacons. The web beacons are tiny graphics with a unique identifier, similar in function to cookies, and are used to track the online movements of Web users. In contrast to cookies, which are stored in a user’s computer hard drive, web beacons are embedded invisibly on Web pages informing us what content is effective, count users of the Services, monitor how users navigate the Services, count how many e-mails that we send were actually opened or to count how many particular articles or links were actually viewed.

Embedded Scripts. An embedded script is programming code that is designed to collect information about your interactions with the Services, such as the links you click on. The code is temporarily downloaded onto your Device from our web server or a third party service provider, is active only while you are connected to the Services, and is deactivated or deleted thereafter.

c- Information gathered through the mobile application

We track the geo-location data through your mobile device and facilitate you to receive flags in your vicinity to lower your downtime. The geo-location data will also enable us to know the route and distance travelled in a ride that might be useful in dispute resolution scenario.
There might be other uses of this data in future that will be revised in this section accordingly. However, you have the right to turn off your location tracking anytime through yours phone’s settings and only allow it when and as required.

d- Information Sharing

We aim to provide you as many flags as possible to give you the opportunity to earn more. Therefore we need to share some of your personal information such as your name and photo that will let the passenger identify you when you reach to pick up. However, in any case your contact details are not shared with the passenger.

2. HOW DO WE USE THE INFORMATION COLLECTED?

We understand your concerns regarding your personal information and the only goal to collect and store this information is to provide you timely, reliable and secure service.

We will also use your information to communicate with you in response to your inquiries, to provide the services you request, and to manage your account. We will communicate with you by email, telephone, or SMS or text message, in accordance with your wishes.

We use your information to allow you to view your trip history, earning history, and to determine which features we need to focus on improving, including usage patterns and geographic locations to determine where we should offer or focus services, features and/or resources.

We use the information collected from our Mobile Application so that we are able to serve you the correct app version depending on your device type, for troubleshooting and in some cases, marketing purposes.

We use your Internet Protocol (IP) address to help diagnose problems with our computer server, and to administer our web site(s). Your IP address is used to help identify you, but contains no personal information about you.

We will send you  service-related announcements on  occasions when it is necessary to do so. For instance, if our Services are temporarily suspended for maintenance, we might send you an email.

3. Information Disclosure

We do not sell, share, rent or trade the information we have collected about you, including Personal Information, other than as disclosed within this Privacy Policy or at the time you provide your information. We do not share your Personal Information with third parties for those third parties’ direct marketing purposes.

a-When You Agree To Receive Information From Third Parties

There might be opportunities where the cab companies want to send you promotional offers through Capxi, we will only disclose your personal information in case you accept the offer. However, Capxi bears no responsibilities for the privacy policies of the third parties. We recommend reviewing their policies prior to accepting any such offers.

b- Administrative and Legal Reasons

We may access, use, preserve, transfer and disclose your information (including Personal Information), to government or law enforcement officials parties as we reasonably determine is necessary and appropriate to:
i. To satisfy any applicable law, regulation, subpoenas, governmental requests or legal process.
ii. To protect the safety, rights, property or security of the Company, our Services or any third party.
iii. To protect the safety of the public for any reason.
iv. To detect, prevent or otherwise address fraud, security or technical issues.
v. To prevent or stop activity we may consider to be, or to pose a risk of being, an illegal, unethical, or legally actionable activity.
vi. Such disclosures may be carried out without notice to you.

3 How Do I Change My Information And What If I Cancel My Account?

By abiding to our terms you will be held responsible for any inaccuracy in your information. You can change or edit the account information anytime or you do not wish to interact with us anymore can delete or inactivate your account.
We will store your Personal Information and Usage Information (including geo-location) as long as your account is active. After termination of services some of the basic personal information and service history will be kept for legal and regulatory reasons.

4 Security Policy

The Information we collect is securely stored within our databases, and we use standard security practices such as encryption, firewalls and SSL (Secure Socket Layers) for protecting your information. However, as effective as encryption technology is, no security system is impenetrable. Any information you transmit over internet is at your own risk. We recommend that you not disclose your password to anyone and to stay safe turn off geo location tracking while not needed.

Passenger Privacy

We respect your privacy and we guarantee every user that their personal information is secure with Capxi. This policy shows how we collect, use, share and protect the information related to our customers.

By registering and providing us your personal information as a user you agree to these terms of privacy policy.
We recommend that you thoroughly read and understand these policies, your use of services imply that you understand and agree to our policies. For any further queries, get in touch with us at support@capxi.com.

We will require the user’s personal information, which is information that could reasonably be used to identify you personally, such as your name, e-mail address, and mobile number.   • Email
  • Password
  • Name
  • Mobile Phone Number
  • Credit Card Number, expiration date & security code and or information regarding your PayPal, Google Wallet or other digital payment accounts
  • Profile photo: your photo will viewable publically and you will have the sole right to edit/remove.

Most of this information will be viewable by the Capxi staff and the drivers who are assigned to pick you.

b- Information We Collect As You Access And Use Our Services

We would explicitly inform you that in addition to the information you provide us, we might use a variety of technologies to track your usage information when you interact with our application or website. This usage data includes but not limit to information such as your browser, the URL that referred you to our Services, all of the areas within our Services that you visit, the time of day, your IP address and device identifier. However every information collected about you will be treated as personal information and handled in accordance to privacy policy.
By registering with Capxi, it is agreed that you will allow GPS tracking of your location through your registered phone number. When you request and while you are in the requested cab, your GPS location will be tracked and monitor in order to inform you about route and distance information.

A few of the methods that may be used to collect Usage Information include, without limitation, the following (and subsequent technology and methods hereafter developed):`

We track the geo-location data through your mobile device and facilitate you to view available cabs in your vicinity, choose your cab, request pick up and notify the chosen cab driver about the pickup request. There might be other uses of this data in future such sending you location specific promotion offers. However, you have the right to turn off your location tracking anytime through yours phone’s settings and only allow it when and as required.

d- Information Sharing

In order for the cab driver to reach you precisely it is important to share some personal identification information about you to the driver. Your name and photo will be viewable by the driver and similarly you will be able to view theirs. However your phone number will not be made public to any driver or the cab company.

2. HOW DO WE USE THE INFORMATION COLLECTED?

We understand your concerns regarding your personal information and the only goal to collect and store this information is to provide you timely, reliable and secure service.

We will also use your information to communicate with you in response to your inquiries, to provide the services you request, and to manage your account. We will communicate with you by email, telephone, or SMS or text message, in accordance with your wishes.

We use your information to allow you to view your trip history, store your credit card information on a secure page, view any promotions we may currently be running, rate trips, and to determine which features we need to focus on improving, including usage patterns and geographic locations to determine where we should offer or focus services, features and/or resources.

We use the information collected from our Mobile Application so that we are able to serve you the correct app version depending on your device type, for troubleshooting and in some cases, marketing purposes. The credit card information you provide in your personal profile at sign-up is not stored by us, but is stored and used by our third party credit card processors in order for them to process payment that you owe third parties for transportation services received by you.

We use your Internet Protocol (IP) address to help diagnose problems with our computer server, and to administer our web site(s). Your IP address is used to help identify you, but contains no personal information about you.
We will send you strictly service-related announcements on rare occasions when it is necessary to do so. For instance, if our Services are temporarily suspended for maintenance, we might send you an email.

3. Information Disclosure

We do not sell, share, rent or trade the information we have collected about you, including Personal Information, other than as disclosed within this Privacy Policy or at the time you provide your information. We do not share your Personal Information with third parties for those third parties’ direct marketing purposes.

a- When You Agree To Receive Information From Third Parties

There might be opportunities where the cab companies want to send you promotional offers through Capxi, we will only disclose your personal information in case you accept the offer. However, Capxi bears no responsibilities for the privacy policies of the third parties. We recommend reviewing their policies prior to accepting any such offers.

b- Third Parties Services Providers

Various cab companies of the city will be providing the taxi services through Capxi. To work in conjunction with us these companies will need some basic information about you and that will be shared such as your name, photo and geo location to provide you the required service.
We use a third party hosting provider who hosts our support section of our website. Information collected within this section of our web site is governed by our Privacy Policy.

c- Administrative and Legal Reasons

We may access, use, preserve, transfer and disclose your information (including Personal Information), to government or law enforcement officials parties as we reasonably determine is necessary and appropriate to:

  • To satisfy any applicable law, regulation, subpoenas, governmental requests or legal process.
  • To protect the safety, rights, property or security of the Company, our Services or any third party.
  • To protect the safety of the public for any reason.
  • To detect, prevent or otherwise address fraud, security or technical issues.
  • To prevent or stop activity we may consider to be, or to pose a risk of being, an illegal, unethical, or legally actionable activity.

Such disclosures may be carried out without notice to you.

4. Social Media Features And Widgets

Our online and mobile Services may include social media features, such as the Facebook Like button, and widgets such as a “Share This” button, or interactive mini-programs that run on our online and mobile Services. These features may collect your IP address, which page you are visiting on our online or mobile Services, and may set a cookie to enable the feature to function properly. Social media features and widgets are either hosted by a third party or hosted directly on our online Services. Your interactions with these features and widgets are governed by the privacy policy of the company providing them.

6. Privacy for Children

As mentioned in terms and conditions, Capxi does not encourage people under 18 years to register with the company. Thus we do not collect data for minors .Please ensure that no minor has the opportunity to misuse your account and access the application on your behalf.
